Terms of Service

1 PURCHASE AND SALE 

Sinayo Hospitality hereby agrees to sell to the Buyer, who agrees to purchase the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets and/pre-event tickets as per the sales proposal / offer presented by Sinayo Hospitality to the Buyer, on the terms and conditions contained in this agreement. 

2 PAYMENT OF PURCHASE PRICE 

The Buyer: 

2.1 Shall pay to Sinayo Hospitality the total purchase price after receipt of an appropriate Tax Invoice by Sinayo Hospitality within the stipulated timeframe. 

2.2 Shall be liable for the total cost inclusive of vat upon signature of the booking form. 

2.3. By concluding the transaction under these terms, signifies their acceptance and binding nature of this agreement.

2.2 Shall only be entitled to physical possession of the said Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets once the full purchase price has been paid to Sinayo Hospitality. 

2.3  Shall collect the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets and/or merchandise  on the date advised by Sinayo Hospitality and should payment not be made by the Buyer, Sinayo Hospitality shall have the right, without prejudice to any of its rights in law, to cancel this Agreement without notice to the Buyer and to retain any and all payments received in terms of this Agreement as a genuine pre-estimate of the liquidated damages suffered by it, and to act with the tickets as Sinayo Hospitality may deem fit, and may elect to proceed against the Buyer for the entire Cost as per the booking form. 

2.4 Is aware that the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets are subject to availability at the time of booking and subject to restrictions from a commercial rights perspective that may be imposed from time to time by the applicable sporting federation, stadium or union. 

2.5 Hereby acknowledge that Sinayo Hospitality hereby gives its best endeavours to find the Buyer a suitable alternative Hospitality package(s) /Hospitality Pass/Seated Tickets should the said ticket not be available at the time of booking for whatsoever reason including restrictions in terms of 2.4 above. 

3 CANCELLATIONS OF EVENT BY EVENT ORGANISERS 

Should the Event Organisers cancel the event for any reason whatsoever: 

3.1 This agreement will automatically be cancelled. 

3.2 Sinayo Hospitality will refund the Buyer the purchase price, less the applicable admin fee. In the event where the Event Organiser cancels the Event under circumstances where Sinayo Hospitality would have incurred expenses in furtherance of its obligations under this agreement and Sinayo is not able to recoup those expenses from the merchant(s), then the refund will be less those expenses.

3.3 The Buyer will return any Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets received to Sinayo Hospitality. 

3.4 The Buyer agrees that it will not hold Sinayo Hospitality liable for any damages suffered as a result of the cancellation of the Event by the Event Organisers, which shall include but not be limited to transportation costs, hotel accommodation, etc. 

4 POSTPONEMENTS OF EVENT BY EVENT ORGANISERS 

Should the Event be postponed by the Event Organiser for any reason whatsoever: 

4.1 This agreement shall remain in full force and effect. 

4.2 Less than 7 days prior or on the day of the Event, the Buyer agrees that Sinayo Hospitality may retain the full purchase price (inclusive of VAT). The authority responsible for issuing the Hospitality package(s) /Hospitality Pass/Transport Voucher/Seated Tickets   may agree to make such Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets valid for an allocated new date on which the Event is to take place. Hospitality services shall be provided on the allocated new date of the Event if the Event takes place within 3 days of the original date scheduled subject to an additional nominal fee for catering services. 

4.3 More than 7 working days before the Event date, full hospitality will be provided to the Buyer at no additional cost on the new date. 

4.4 Sinayo Hospitality shall validate the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets to the new dates, supplied by the Event Organiser, at no extra cost to the Buyer. 

5 CANCELLATIONS BY BUYER 

This agreement may be cancelled by the Buyer, subject to the following conditions: 

5.1 If cancelled less than three (3) months from the date of the Event, then the Buyer will forfeit 100% of the purchase price.

5.2 If cancelled between three (3) and six (6) months from the date of the Event, then the Buyer will forfeit 75% of the purchase price.

5.3 If cancelled between six (6) and nine (9) months from the date of the Event, then the Buyer will forfeit 50% of the purchase price.

5.4 If cancelled between nine (9) and twelve (12) months or more from the date of the Event, then the Buyer will forfeit 25% of the purchase price.

 

6 TRANSFER OF HOSPITALITY PACKAGE(S) / HOSPITALITY PASSES/TRANSFER VOUCER / SEATED TICKETS / PASSES 

6.1 The Buyer acknowledges and agrees that it shall not be entitled to transfer the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets acquired by it in terms of this agreement to any other party. 

6.2 The Buyer acknowledges that it shall be specifically prohibited from reselling Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets and/or granting THE Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets as prizes. In the event that this takes place, Sinayo Hospitality shall be entitled to cancel these Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets. 

6.3 The Buyer acknowledges that it shall not permit the transfer of the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets  on the day of the event to unauthorized persons (i.e. persons who would otherwise not be permitted access to the Hospitality / Seated area). 

6.4 Any transfer of Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets  in contravention of the above shall put at risk the bearer of such Hospitality package/Hospitality Pass/ Transport Voucher /Seated ticket  being  denied access to the Hospitality /Seated area. 

6.5 The Buyer is prohibited from marketing and/or reselling the Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets to anyone.6.6 Sinayo Hospitality takes no responsibility if Hospitality package(s) /Hospitality Passes/Transport Vouchers/Seated Tickets is/are sold to anyone, and their license is revoked by the organising authority. 

7 CORRECTIONS AND ALTERATIONS

7.1 The Buyer has the responsibility to ensure that it supplies the correct biographical information to Sinayo Hospitality for the issuance of the Hospitality package(s)/ Hospitality Passes/ Transport Voucher /Seated tickets.

7.2 Upon receipt, the Buyer shall ensure the correctness of the information shall immediately inform Sinayo Hospitality of any corrections and/or alterations that need to be effected.

7.3 Sinayo Hospitality reserves the right to effect the alterations at an additional Fee to the Buyer.

7.3 No corrections and/or alterations shall be effected after the lapse of a period of 3 days from date of issue. Sinayo Hospitality further takes no liability in the event that the alterations are not effected in time for the Event.

8 FORCE MAJEURE 

8.1   Sinayo Hospitality shall not be considered in breach of this agreement to the extent that performance of its obligations is prevented by an event of Force Majeure. 

8.2 Extenuating weather conditions are not a valid reason for refund or cancellation of packages and or tickets. The Buyer accepts all risks associated with ticket seat locations which will be communicated by Sinayo Hospitality to the Buyer at the time of booking. 

8.3 Despite the above, the onus rests on the Buyer to obtain information regarding ticket location and should there be adverse weather conditions on the Event day, the risk and responsibility pertaining to the ticket’s location lies with the Buyer. 

9 COVID19 TRAVEL RESTRICTIONS VISAS OR VACINE PASSPORTS 

9.1 Where Government requirements are introduced, in relation to the Covid 19 or any future or similar Pandemic, that require inoculations or vaccines to be taken and a related proof of vaccination such like a Vaccine Passport to be obtained, it will be the sole responsibility of the Buyer to obtain any such requirement and failure to do so that restricts travel or entry into any event or fixture will absolutely not entitle the Buyer to any refund whatsoever. 

10 GENERAL 

10.1   Sinayo Hospitality  shall use its best endeavours to ensure that the package inclusions per the Hospitality sales / Seated tickets proposal are delivered on, however, in the event that they are unable to do so and this is out of their control (e.g. a team or player or guest speaker is unavailable for whatever reason), they shall take such reasonable steps at their discretion to ensure that a reasonable equivalent or replacement is made and will not be held responsible for the participation of any players or legends or teams nor accept any cancellations on the basis of teams, players or others being replaced. 

10.2 Should the purchase price be paid by credit card, then an additional 3% service fee shall be payable in addition to the original invoiced amount. 

10.3 In the event where the Hospitality Package(s) / Hospitality Passes/ Transport Voucher/ Seated tickets are not transmissible digitally or electronically, then courier fees incurred by Sinayo Hospitality on behalf of the Buyer will be for the Buyer’s account. 

10.4   Sinayo Hospitality shall be entitled to charge interest, from time to time, on all overdue amounts at the rate of 2% above the prime rate (quoted by First National Bank Limited) per month, calculated from due date to date of payment. 

10.5   Sinayo Hospitality shall be entitled, but not obliged, to institute proceedings against the Buyer out of the Magistrate’s Court; notwithstanding that the amount owing exceeds the jurisdiction of the Magistrate’s Court. The Buyer agrees to be liable to Sinayo Hospitality for all legal costs on the attorney and own client scale. 

10.6 A certificate signed by a director or manager of Sinayo Hospitality reflecting the amount of the Buyer’s indebtedness to it, including the amount of interest accrued thereon shall be prima facie proof of the contents and correctness thereof. 

10.7 This agreement constitutes the entire agreement between the parties and no variation or amendments to any term or condition hereof shall be valid or binding on Sinayo Hospitality unless reduced to writing and signed by an authorised representative of Sinayo Hospitality.  

10.8 Any annexure signed by the Buyer shall form an annexure to this agreement, and the Buyer undertakes to be bound thereto. 

10.9 The address submitted by the Buyer and inserted on Sinayo Hospitality official quotation shall be the domicilium address nominated by the Buyer in terms of this agreement for the purpose of serving legal notices. 

10.10 The Buyer shall have no advertising or sponsorship rights or association with the event. 

10.11  Whilst every effort will be made to ensure the accuracy of the information contained on Sinayo Hospitality  website, brochure or quote, such information is subject to change at any time without prior notice. It is the Buyer’s responsibility to check the latest information from time to time and Sinayo Hospitality shall not be held liable for any damage or loss arising out of such incorrect or amended information. 

11 INDEMNITY 

Sinayo Hospitality, its employee/s, officer/s, agent/s and/or invitee/s shall under no circumstances be held liable for any damages or loss suffered by the Buyer or any third party bearer of the Hospitality Package(s)/Hospitality Passes/Transport Voucher/Seated Ticket sold to the Buyer, arising from any act or omission by Sinayo Hospitality, its employee/s, officer/s, agent/s and/or invitee/s and the Buyer hereby irrevocably indemnifies Sinayo Hospitality against such claims.
